Delhivery Issues Fresh ESOPs to Retain Top Talent

In a move to strengthen employee retention and align individual performance with corporate growth, Delhivery Limited has announced a fresh grant of 100,360 stock options to eligible employees.
The decision, approved by the company’s board on May 4, 2026, marks the latest in a series of equity-based incentives for the logistics major’s workforce.
Delhivery Dual-Track Vesting and Minimal Exercise Price
The new grants are issued under the company’s ESOP 2012 plan and are effective as of May 1, 2026.
To provide both short-term motivation and long-term commitment, the company has structured the options into two distinct vesting schedules:
- Standard Grant (88,360 options): These vest over a four-year period, with 10% vesting after the first 12 months, 30% after 24 months, and the remaining 60% vesting at a rate of 15% every six months thereafter.
- Special Grant (12,000 options): These follow an accelerated three-year schedule, where 40% vests after the initial 12 months, followed by 15% every six months.
Significantly, each option is convertible into one fully paid-up equity share at a nominal exercise price of ₹1.
Once converted, these shares carry no lock-in period and rank equally with all existing equity shares.
Consistent Commitment to Wealth Creation
This announcement follows a previous grant of 58,250 stock options approved in early April 2026, highlighting Delhivery’s proactive approach to talent management in a competitive logistics market.
The company also recently allotted 86,225 equity shares on April 8, 2026, following the exercise of previously vested options.
Strategic Governance and Market Position
The ESOP rollout coincides with significant leadership changes, including the appointment of Neelam Dhawan as the new Board Chair in March 2026.
As Delhivery continues to expand its “mega gateway” infrastructure and international parcel services, management views these equity grants as vital tools to ensure key personnel remain invested in the company’s long-term trajectory.
