Noel Tata Challenges Chandrasekaran’s Reappointment as Tata Sons Chairman

Tata Trusts Chairman Noel Tata has challenged the validity of Tata Sons’ board resolution to reappoint N Chandrasekaran as executive chairman for another five-year term, alleging procedural lapses, disputed voting requirements and possible conflict-of-interest concerns.

In a letter dated October 26, he sought records of the September 17 board meeting and questioned whether the resolution was legally valid.

The dispute concerns the decision taken at the board meeting of Tata Sons, the holding company of the Tata Group. Chandrasekaran’s current term is due to end in February 2027, and the resolution proposed a further five-year term.

Noel Tata Questions Board Meeting Procedure

According to reports, Noel wrote to Tata Sons Company Secretary Suprakash Mukhopadhyay, arguing that the reappointment proposal was not included in the agenda circulated for the September 17 meeting. He questioned how the board took up the resolution and challenged its validity.

At the meeting, four directors voted in favour of Chandrasekaran’s reappointment, while Noel voted against it. Venu Srinivasan, the other Tata Trusts nominee on the board, supported the resolution.

Noel has argued that Tata Sons’ Articles of Association require the affirmative support of Tata Trusts’ nominee directors for the chairman’s appointment or reappointment. He has also questioned the use of the chairman’s casting vote to resolve the voting issue.

Tata Trusts has maintained that the resolution was invalid, while Tata Sons has relied on legal opinions supporting the validity of the board’s decision. The two sides differ on how the company’s governance rules should be interpreted.

Seeks Meeting Records and Raises Conflict Concerns

In his October 26 letter, Noel sought an unedited video recording of the board meeting, the final signed minutes, a certified copy of the resolution and other relevant records. He reportedly asked the company to provide the requested information within seven days.

He also raised concerns about business dealings between TVS Motor Company and Hanno One Warehousing, a company associated with members of Chandrasekaran’s family. Noel questioned whether the relevant interests had been disclosed and whether Srinivasan should have participated in the reappointment decision, given his association with TVS Motor.

These are allegations and objections raised by Noel and should not be treated as established findings of wrongdoing.

The dispute brings governance procedures and board-level decision-making at Tata Sons into focus. The validity of Chandrasekaran’s reappointment remains contested, and no final judicial determination on the dispute has been established in the reports reviewed.
