Will N Chandrasekaran Stay? Tata Sons Board Divided Over Chairman’s Exit

The Tata Sons board is divided over how to respond to Chairman N Chandrasekaran’s decision not to seek reappointment after his current term ends on February 20, 2027.

According to a report by The Economic Times, some directors want the matter to be formally voted on by the board, while others believe the company should ask Chandrasekaran to reconsider his decision.

Chandrasekaran announced on August 12 that he would not offer himself for another term, citing the absence of unanimous support for his reappointment. The move came after months of discussions around a proposed third five-year term.

Debate Within the Board

A section of Tata Sons directors is understood to be discussing whether the board should formally vote on Chandrasekaran’s decision. Others feel the board should not immediately accept his stand and instead request him to continue.

Quoting an official close to Sir Dorabji Tata Trust (SDTT), The Economic Times reported: “Since the Tata Sons chairman has conveyed his decision to voluntarily not seek reappointment to the board, the fiduciary duty of the directors would be to focus on succession planning.”

The situation has become more complex because of governance and quorum-related issues at Tata Sons, adding uncertainty to how the board will formally proceed.

Focus Shifts to Succession Planning

While the board continues its discussions, Sir Dorabji Tata Trust has reportedly written to Tata Sons asking it to take note of Chandrasekaran’s decision and begin the process of constituting a selection committee to identify his successor.

Legal experts have also weighed in on the matter. Ashish K Singh, Managing Partner at Capstone Legal, told ET: “In my view, as per Companies Act, the Board has no option but to accept the decision of not seeking reappointment and accept the resignation.”

Leadership Transition Ahead

Chandrasekaran has been Chairman of Tata Sons since 2017 and has overseen a period of significant expansion across the Tata Group. His decision has triggered a leadership transition process at one of India’s largest business groups, with succession planning now expected to become a key focus for both the board and Tata Trusts.

The final course of action remains undecided, with directors still divided on whether to formally vote on the matter or make an effort to persuade Chandrasekaran to stay.
